Officers and Board of Directors
The Board of Directors shall consist of all Officers and Directors, as may be elected. The number of Directors shall be an odd number with a minimum of three (3) and a maximum of five (5). The Officers shall each serve a term of one (1) year. The Directors shall each serve a two (2) year term. They can be re-elected if so, chosen by the members. Outgoing Officers may be elected and serve as directors.
In brief, the role of directors is defined as the ultimate decision-making body of the corporation. It has both an oversight role (overseeing management on behalf of members) and an advisory role (advising management), with almost no involvement in the day-to-day operations of the company.
The board of directors holds regular meetings at which minutes are taken and makes decisions by written consent.
